Purpose of the Job

As part of the Business Support team, support the Company’s decision-making process and ensure the company complies with legal standards and in-house policies.

Tasks and Responsibilities:

Legal advice & Legal archiving

  • Draft, review and authorise contracts as per the Group’s governance framework
  • Liaise with external providers of consultancy and legal services and other relevant authorities
  • Provide legal advice on corporate compliance globally, and any other arising issues and handle any legally related queries as they may arise (including sending copies of contracts, queries related to contacts of signed contracts etc)
  • Acquire signatures as necessary and ensure that contracts and agreements are in line with regulatory requirements
  • The setting up and ongoing archiving (in both physical and electronic format) of all contracts, agreements, and other legal documents
  • Inform the relevant stakeholders when contracts, agreements and other legal documents have been signed including a summary where necessary
  • Keep a record and inform stakeholders when any contracts are due to expire or up for renewal

Business Development and Support

  • Support the setting up of Corporate Structures and Joint Venture Agreements
  • Undertake periodic reviews and risk assessment of existing client relationships and business partnerships
  • Carry out due diligence, risk assessment and compliance checks related to new business
  • Performing the necessary KYC and due diligence checks
  • Ensure the company complies with its outside regulatory requirements (national and international) and internal policies and systems of control
  • Keep abreast of regulatory developments within or outside of the company as well as evolving best practices in compliance control
  • Liaise with external providers of consultancy and legal services

Regulatory compliance – Registry of Companies

  • Ensure that the company is compliant with the requirements and deadlines imposed by the Registry of Companies and other relevant government agencies and institutions
  • Working in conjunction with MFSA to keep the List of Insiders related to Hudson Malta P.L.C. updated as necessary
  • Keep Governance Calendar updated and inform the relevant stakeholders of pending activities
  • Keep the Group Structure internal document updated with the latest information to be able to provide information to other institutions as necessary

Regulatory compliance – GDPR

Ensure ongoing compliance with GDPR with monthly status updates, showing status of action items, planned action, and identified risk.

Regulatory compliance – AML 

Ensure that the Group has robust AML procedures in place and that such procedures are communicated across the Group. This will include:

  • Review and improve the relevant AML policies and ensure that the Group can demonstrate compliance
  • Communicate the said policies and procedures to the staff involved
  • Deliver training and awareness sessions to relevant stakeholders

Intellectual Property (IP)

  • Ensure that the Group is in line with all IP requirements arising from contracts and agreements with third parties.
  • Review current Group’s own Intellectual Property (including Trademarks) and ensure that the Group is protected in this regard.

Skills and Qualifications:

  • 3 years working experience as Legal Counsel or related role
  • Experience drafting contracts and negotiating terms to fit any two parties
  • In-depth understanding of the court’s legal procedures and government regulations
  • Ability to make effective decisions under critical conditions
  • A profound understanding of the English language and attention to detail
  • Critical thinking, analytical and problem-solving skills
  • Ability to self-initialise and perform tasks with minimal supervision
  • Computer literacy and the ability to operate common software packages
  • Ability to work well with others and build good relationships with clients and stakeholders
