Legal and Compliance Executive

The purpose of this role is to support the Group on IP related matters, contractual and commercial advice, litigation work, regulatory and compliance policies.

Key Accountabilities:

Legal and Compliance

  • Draft, review and vet contracts and agreements with third party providers and intra-group companies as well as customers and counter parties.
  • Draft, review and assist in issuing guarantee letters, pledge agreements, facility letters and other contracts and documentation for and on behalf of the company.
  • Set-up and maintain a document archiving system and database (in both physical and electronic format)
  • Liaise with external providers of consultancy services, legal services, banks, regulatory authorities and other relevant authorities;
  • Provide legal advice on corporate compliance globally and any other arising issues;
  • Monitor and follow-up on Group’s compliancy with the requirements and deadlines imposed by the Registry of Companies and other relevant government agencies, regulators and other institutions;
  • Ensure ongoing compliance with GDPR with monthly status updates, showing status of action items, planned action and identified risk.
  • Advise senior management and employees about changes to the legal framework and regulatory environment.

Business Development and Support

  • Support the setting up of Corporate Structures, Joint Venture Agreements and other corporate;
  • Undertake periodic reviews and risk assessment of existing client relationships and business partnerships;
  • Carry out due diligence, risk assessment and compliance checks related to new business ventures;
  • Ensure the company complies with its outside regulatory requirements (national and international) and internal policies and systems of control;

Regulatory compliance – AML 

  • Ensure that the Group has effective AML policies and procedures in place and that such procedures are communicated across the Group.

Intellectual Property (IP)

  • Ensure that the Group is in line with all IP requirements arising from contracts and agreements with third parties.

Review current Group’s own Intellectual Property (including Trademarks) and ensure that the Group is protected in this regard
