INVESTORS INFORMATION

Hudson Malta p.l.c. is registered under the laws of Malta with company registration number C 83425 and having its registered address situated at Hudson House, Burmarrad road, Burmarrad, St. Paul’s Bay SPB 9060, Malta.

The company has a share capital of Eur22,450,000, fully paid up and issued as follows: 
Hudson Holdings Limited (C 37866) holds 22,449,999 shares, having a nominal value of Eur1 per share, representing 99.99% of the total share capital; and

Time International Company Limited (C 39021) holds 1 share, having a nominal value of Eur1, representing 0.01% of the total share capital.

Hudson Holdings Limited and Time International Company Limited merged to form one guarantor –  Hudson Malta Sales Limited (C 32438). In terms of the guarantee, details of which are set out in the Prospectus dated 23 March 2018, the Guarantor irrevocably and unconditionally guaranteed to each Bondholder that if for any reason the Issuer fails to pay any sum payable by it to such Bondholder pursuant to the terms and conditions of the Bonds as and when the same shall become due, the Guarantor will pay to such Bondholder on written demand the amount payable by the Issuer to such Bondholder in terms of the Prospectus.

The company now has a wholly-owned subsidiary, Hudson Malta Sales Limited, which is registered under the laws of Malta with company registration number C 32438.

As to securities, in March 2018, Hudson Malta plc issued €12 million 4.35% unsecured bonds of a nominal value of €100 per bond in terms of a prospectus dated 23 March 2018. Unless previously re-purchased or cancelled, the bonds are redeemable at their nominal value on 6 April 2026. Interest on the bonds is repayable annually on the 6 April of each year between and including each of the years 2019 and the year 2026. The bonds are currently listed and traded on the Official List of the Malta Stock Exchange.
